What is articles of incorporation?

Articles of incorporation are the founding legal document that officially creates an HOA as a corporation. They typically list basic details like the association’s name, purpose, registered agent, and how its board is structured.

Why does articles of incorporation matter?

Without properly filed articles of incorporation, an HOA doesn’t legally exist as the entity it thinks it is, which can create real problems if the board ever needs to enforce a rule, sign a contract, or defend itself in a dispute. Getting this document right at the start saves a world of legal confusion later.

When You’ll Run Into This

Most boards never touch this document again once it’s filed, until a lawyer, lender, or title company asks for a copy during a transaction. It’s worth keeping a copy somewhere every board member can actually find.
